Amendments to the Decree on enterprise registration: What enterprises should know

On June 30, 2025, the Government promulgated Decree 168/2025/ND-CP on enterprise registration, which officially takes effect from July 1, 2025 and replaces Decree 01/2021/ND-CP. The new provisions of Decree 168 are developed to further simplify administrative procedures in enterprise registration, improve transparency in Viet Nam’s business environment, attract investment, and promote the development of the private sector.

Some issues to be noted by enterprises from the draft Decree guiding compulsory social insurance

After consulting ministries, sectors and localities and appraisal opinions of the Ministry of Justice, the Ministry of Labor, Invalids and Social Affairs (now merged into the Ministry of Home Affairs) has submitted to the Government a draft Decree detailing and guiding the implementation of a number of articles of the Law on Social Insurance on compulsory social insurance, with some outstanding contents of the Draft Decree that enterprises need to pay attention to.

Some notable regulations on management and development of industrial clusters

On March 15, 2024, the Government issued Decree 32/2024/ND-CP regulating the management and development of industrial clusters. Decree 32/2024/ND-CP, upon its effectiveness on May 1, 2024, will replace Decree 68/2017/ND-CP and Decree 66/2020/ND-CP amending and supplementing a number of articles of Decree 68/2017/ND-CP.

New regulations on conditions for foreign loans without government guarantee

On June 30, 2023, the State Bank of Viet Nam issued Circular 08/2023/TT-NHNN on conditions for foreign loans not guaranteed by the Government. Taking effect from August 15, 2023 (except for the regulations on short-term foreign loan rooms that will take effect from January 1, 2024), Circular 08/2023/TT-NHNN will replace Circular 12/2014/TT-NHNN guiding foreign exchange management for enterprise’s foreign loan borrowing and repayment.

New regulations on private placement and trading of privately placed corporate bonds in domestic market

On May 3, 2023, the Government issued Decree 08/2023/ND-CP amending and supplementing Decree 153/2020/ND-CP and Decree 65/2022/ND-CP, and suspending the effectiveness of a number of articles in Decree 65/2022/ND-CP related to private placement and trading of corporate bonds in domestic market and offering of corporate bonds in international market.
