Notes on fees and charges in securities sector

On April 4, 2022, the Ministry of Finance promulgated Circular 25/2022/TT-BTC stipulating the rates and regimes for collection, payment, management and use of fees and charges in securities sector, which replaces Circular 272/2016/TT-BTC. Circular 25/2022/TT-BTC inherits the core regulations from Circular 272/2016/TT-BTC with slight adjustments in some regulations on fees and charges payable by organizations and individuals operating in securities sector. Some notes on fees and charges in securities sector in Circular 25/2022/TT-BTC are presented in this article.

New regulations on establishment, rearrangement, conversion and transfer of enterprises of which 100% of charter capital is held by the State

On April 5, 2022, the Government issued Decree 23/2022/ND-CP on the establishment, rearrangement, conversion and transfer of the right to act as the representative of state ownership in the enterprise of which 100% of the charter capital is held by the State which takes effect on June 1, 2022. New regulations on establishment, rearrangement, conversion and transfer of enterprises of which 100% of charter capital is held by the State are addressed in this article.

Some new provisions on offer and trading of privately-placed corporate bonds in domestic market

After more than 1 year of issuance and implementation, Decree 153/2020/ND-CP on offer and trading of privately-placed corporate bonds in domestic market and offer of corporate bonds to international market (Decree 153) has revealed certain inadequacies in the context of overheating of the corporate bond market in Viet Nam, with the appearance of unlawful capital mobilization from bond issuance. As a result, the Ministry of Finance is drafting a Draft Decree for amending and supplementing Decree 153 to respond to the current developments of the market.
