Decree 239/2025/ND-CP: What investors should pay attention to when carrying out investment activities from September 3, 2025

On September 3, 2025, the Government issued Decree 239/2025/ND-CP (Decree 239) amending and supplementing a number of articles of Decree 31/2021/ND-CP providing details and guidelines for the implementation of certain articles of the Law on Investment. Decree 239 takes effect from the date of promulgation. Decree 239 is issued for multiple objectives, such as providing detailed guidelines for the Law on Investment amended and supplemented in 2025, addressing difficulties and obstacles encountered in the implementation of investment laws, etc.

New regulations on registration and cancellation of public company status: Toward a transparent and sustainable securities market

On May 5, 2025, the Ministry of Finance issued Circular 19/2025/TT-BTC stipulating the registration of public companies, cancellation of public company status, and audited report on contributed charter capital. Circular 19 provides detailed guidelines for certain provisions of the Law on Securities 2019, as amended and supplemented by Law 56/2024/QH15, and replaces certain articles of Circular 118/2020/TT-BTC providing guidelines for public offerings and issuance of securities, tender offers, share repurchases, registration of public companies and cancellation of public company status.

Highlights of the Law on Health Insurance 2024

Participating in health insurance is one of the fundamental rights of citizens, which has been stipulated in the Law on Health Insurance 2008 and its guiding documents. However, after 15 years of implementation, the Law on Health Insurance 2008 has revealed certain limitations and shortcomings. As a result, on November 27, 2024, the National Assembly issued Law No. 51/2024/QH15 to amend and supplement several provisions of the Law on Health Insurance 2008 (Law on Health Insurance 2024).

Notable new regulations on lending activities of credit institutions, foreign bank branches

On June 28, 2023, Circular 06/2023/TT-NHNN (Circular 06) was issued to amend and supplement several provisions of Circular 39/2016/TT-NHNN (Circular 39) which stipulates lending activities of credit institutions and foreign bank branches. After that, on August 23, 2023, the State Bank issued Circular 10/2023/TT-NHNN (Circular 10) suspending the implementation of some provisions in Circular 39. Circular 06 and Circular 10 both take effect from September 1, 2023.

New regulations on guiding the implementation of Law on Land

On April 3, 2023, Decree 10/2023/ND-CP (Decree 10) was issued to amend and supplement several articles of Decrees providing guidelines for implementation of the Law on Land, which will take effect from May 20, 2023. Decree 10 introduces notable amendments and supplements regarding investment projects regulated by Decree 43/2014/ND-CP, as amended and supplemented by Decree 01/2017/ND-CP.
