On January 3, 2023, the Ministry of Finance issued Circular 30/2023/TT-BTC guiding the registration, depository, exercise of rights, transfer of ownership right, payment, and organization of the market for the trading of privately placed corporate bonds in the domestic market. This Circular takes effect from July 1, 2023
On July 29, 2022, the State Bank of Vietnam promulgated Circular 10/2022/TT-NHNN guiding the foreign exchange management for the issuance of bonds to international markets by enterprises that are not guaranteed by the Government, which replaces Circular 17/2013/TT-NHNN.
After more than 1 year of issuance and implementation, Decree 153/2020/ND-CP on offer and trading of privately-placed corporate bonds in domestic market and offer of corporate bonds to international market (Decree 153) has revealed certain inadequacies in the context of overheating of the corporate bond market in Viet Nam, with the appearance of unlawful capital mobilization from bond issuance. As a result, the Ministry of Finance is drafting a Draft Decree for amending and supplementing Decree 153 to respond to the current developments of the market.
